Terms of Service
These terms govern your use of UpaKwarto. By creating an account you agree to them.

1. What UpaKwarto is
UpaKwarto is software for managing short-term rental listings. It reads the calendar feeds you connect from booking sites, combines them into one calendar, warns you when two bookings overlap, and gives your property a booking page of its own.
We are not a booking site and not a travel agency. We do not list your property anywhere, we do not find you guests, and we are not party to any booking made through us.
2. Your account
You must be at least 18 and able to enter a contract. You are responsible for what happens under your account, including anything done by team members you invite. Keep your password to yourself and tell us if you think someone else has it.
You may invite team members and set what each can see. Assigning a role is your decision and your responsibility.
3. Plans and payment
Plans and prices are shown at upakwarto.com. The Free plan is free.
Free trial. A new account starts on the Host plan free for three months, with no card asked for. A week before the trial ends we send the first Host invoice, due on the trial's last day. If you would rather not pay, move to the Free plan before then and nothing is owed. If you choose another paid plan during the trial, you keep the free months and the first invoice is for that plan. An unpaid first invoice is treated like any other: a grace period, then the Free plan's limits.
Nothing charges you automatically. GCash, QR Ph and bank transfer cannot debit you without you acting, and we hold no card. Each period we send an invoice with payment details, and you send the money and give us the reference. Nothing is ever taken from you without you doing it.
If an invoice goes unpaid past its due date you keep full access during a grace period. After that the account is suspended: it returns to the Free plan's limits, and anything beyond them becomes read-only.
Suspension does not delete anything. Your calendar, bookings, guests and records remain, and full access returns when the invoice is paid.
Prices may change. We will give you at least 30 days’ notice by email before a price change affects you. Paid periods already bought are unaffected.
Refunds. We do not refund part of a period. You may move to the Free plan at any time and you keep the paid plan until the period you have already paid for ends. Nothing in this paragraph limits rights you have under the Consumer Act that cannot be waived.
4. What we do not promise
Read this section. It is the honest one.
We do not guarantee that double bookings will not happen. UpaKwarto reduces the risk; it cannot remove it. We synchronise using iCal feeds, and booking sites refresh those feeds on their own schedule — often only every few hours. A booking taken on another site minutes ago may not reach us before someone books the same night with you. Deciding what to sell, and checking before you confirm, remains yours.
We cannot reply to guests on booking sites. The inbox brings every guest into one place, but replies leave our system only by email. Airbnb, Booking.com, Agoda and the others have not granted us messaging access, and we link you to their app instead. We say so throughout the product and we say it here.
We do not control the booking sites. They may change or withdraw their calendar feeds at any time, which may break a connection through no fault of ours or yours.
The service is provided as-is, without warranty beyond what Philippine law requires and does not permit us to exclude.
5. Money between you and your guests
Guests pay you directly — cash, GCash, QR Ph or bank transfer, to accounts you control. That money never passes through UpaKwarto. We record what you tell us about it so your books add up. We do not hold it, do not guarantee it, and cannot recover it or reverse it.
Payment reconciliation in the app is a record, not a settlement. The money is between you and your guest.
6. Your content and your guests' data
You keep everything you put in: your descriptions, photos, rates and records. You grant us only what we need to run the service for you — storing it, displaying it on your booking page, and sending it in emails you ask us to send.
You confirm you have the right to upload what you upload, including photographs.
About your guests: you decide what to collect and why. You are their data controller; we process it on your instruction. You are responsible for your own compliance with the Data Privacy Act. Our Privacy Notice explains what we do with it.
7. Verification
You may send business documents and identification to be verified. Doing so is optional and is a decision you make.
A verified badge means a person at UpaKwarto looked at registration documents for that business. It is not a guarantee of the property, the host, or the guest's money, and the product says exactly that where the badge appears.
We may refuse or withdraw verification. Sending forged documents will end your account.
8. Guest reviews
After a stay, your guests may be sent a private link to review it, and a review they post appears on your booking page. Only a guest of a real stay can leave one, once per stay, up to 60 days after check-out.
You can publish a reply to any review. You cannot edit, hide or delete a review, and neither can anyone on your team — reviews are worth reading only because hosts do not choose which ones stay.
You can appeal a review once, if it is abusive, contains someone's personal details, is not about that stay, or was not written by the guest. It is hidden while we decide. If we keep it, it goes back up and cannot be appealed again. Our decision is final.
Do not ask or pay guests for reviews, or offer them anything in exchange for one, a better one, or none.
9. Acceptable use
Do not use UpaKwarto to break the law, list property you have no right to let, mislead guests, upload someone else's material, or attack the service or attempt to reach another organisation's data.
10. Support access
Our staff can sign in to your account to help you. Every such session is recorded in your audit log, marked as an impersonation, and visible to you.
11. Ending it
You may stop at any time by moving to the Free plan or asking us to close your account. We may suspend or end an account that breaches these terms, and for anything short of serious abuse we will tell you first and give you a chance to fix it.
On closure you may export your data first. We keep records for ten years afterwards to meet Philippine tax record-keeping rules, as set out in the Privacy Notice.
12. Liability
To the extent Philippine law allows, we are not liable for lost bookings, lost income, lost data or indirect loss, and our total liability to you is limited to the fees you paid us in the twelve months before the claim.
Nothing here excludes liability that cannot lawfully be excluded.
13. Changes
We may change these terms. For anything significant we will tell account holders by email before it takes effect, and record the version you accepted.
14. Law
Philippine law governs these terms, and the courts of Cebu City have jurisdiction.
